Terms of Use

These Terms of Use ("Terms") govern your access to and use of Colir, including the website colir.space and the Colir application and related services (the "Service"). The Service is operated by Colir. By using the Service or completing a purchase, you agree to these Terms and to our Refund Policy. If you do not agree, do not use the Service.

1. Eligibility

You must be at least 16 years old and able to form a binding contract to use the Service. By using the Service, you represent that you meet these requirements.

2. Use of the Service

We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms and any plan or licence you have purchased. You may not:

3. Free and paid plans

The Service may be offered with both free and paid plans. Free access is provided at our sole discretion. We may modify, limit, or discontinue free access at any time without notice or liability. Paid plans provide the features and limits described at the time of purchase for the duration of the purchased period.

4. Account and security

You are responsible for keeping your account credentials confidential and for all activity under your account. Notify us promptly at help@colir.space if you suspect unauthorised use.

5. Purchases and subscriptions

Paid plans, subscriptions, and one-time purchases are offered through the Service. By placing an order, you agree to pay the applicable fees and accept our Refund Policy.

Payment processing. Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Your payment and related data are processed in accordance with Paddle's terms and privacy policy.

Prices are as displayed at checkout. We may change prices for future purchases or renewal periods; any price change takes effect at the start of the next billing cycle, not the current one. Subscription renewals are charged automatically until you cancel in accordance with the options provided in the Service or via Paddle.

6. Modifications to the Service

We reserve the right, at our sole discretion, to modify, update, suspend, or discontinue any part of the Service (including features, functionality, and content) at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service. If we discontinue the entire Service while you have an active paid subscription, we will provide a pro-rata refund of any prepaid fees covering the unused portion of your subscription period.

7. Intellectual property

We own or license all rights in the Service (including software, design, text, and branding). Nothing in these Terms transfers any such rights to you beyond the limited licence to use the Service. Output you create with the Service (e.g. exported gradients) is yours; we do not claim ownership of your content.

8. Service availability

We do not guarantee any specific level of uptime, availability, or performance. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any interruption or downtime.

9. Beta and experimental features

From time to time we may offer features labelled as "beta", "experimental", or "preview". Such features are provided as-is without any warranty, may be changed or removed at any time, and should not be relied upon for production use. Our limitation of liability applies to beta features without exception.

10. Disclaimer of warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE (AND OUR AFFILIATES, OFFICERS, AND EMPLOYEES) SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICE OR THESE TERMS. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM (OR, IF GREATER, THE MINIMUM AMOUNT PERMITTED BY APPLICABLE LAW).

Some jurisdictions do not allow the exclusion or limitation of certain warranties or liabilities; in such cases, the above limitations apply only to the extent permitted by law.

12. Indemnification

You agree to indemnify and hold harmless Colir and its affiliates from any claims, damages, losses, or expenses (including reasonable legal fees) arising out of your use of the Service, your breach of these Terms, or your violation of any law or third-party rights.

13. Termination and effect of termination

We may suspend or terminate your access to the Service at any time, at our sole discretion, for breach of these Terms or for any other reason with notice where practicable. You may stop using the Service at any time.

Upon termination (whether by you or by us) or upon a refund being granted under our Refund Policy, your licence to use the Service ceases immediately and your access will be revoked. You will no longer be able to use paid features or export functionality associated with your plan. Provisions that by their nature should survive (including disclaimers, limitation of liability, indemnification, and dispute resolution) will survive termination.

14. Force majeure

We shall not be liable for any failure or delay in performing our obligations under these Terms where such failure or delay results from circumstances beyond our reasonable control, including but not limited to: natural disasters, war, armed conflict, terrorism, government actions, sanctions, pandemic, epidemic, internet or telecommunications failures, power outages, cyberattacks, or actions of third-party service providers.

15. Changes to the Terms

We may update these Terms from time to time. The "Last updated" date at the top will be revised. We will notify you of material changes by posting the new Terms on the Service and/or by email where appropriate. Continued use of the Service after changes constitutes acceptance of the updated Terms. If you do not agree, you must stop using the Service and may cancel any subscription in accordance with our Refund Policy.

16. Dispute resolution

Before filing any formal claim or proceeding, you agree to first contact us at help@colir.space and attempt to resolve the dispute informally for at least thirty (30) days. Most concerns can be resolved quickly this way.

To the fullest extent permitted by applicable law, you agree that any dispute will be resolved on an individual basis. You waive any right to participate in a class action, collective action, or representative proceeding against us.

17. Governing law

These Terms are governed by the laws of Ukraine, without regard to conflict of laws. Any dispute arising out of or relating to these Terms or the Service that is not resolved informally shall be resolved in the courts of Ukraine.

18. General

These Terms constitute the entire agreement between you and us regarding the Service. If any provision is held invalid, the remaining provisions remain in effect. Our failure to enforce any right does not waive that right. You may not assign these Terms; we may assign them without restriction.
